End User Licence Agreement (EULA)

This End User Licence Agreement ("Agreement") is a binding contract between Storrex BV, a company incorporated in Belgium, VAT/enterprise number BE 0883.625.656, registered office at Steenweg 130-202, 3890 GINGELOM, Belgium ("Storrex", "we"), and the person or entity accepting it ("you", the "Licensee"). It governs your use of the TRACER365 software.

By clicking "I accept" when the Software first runs — or by installing or using the Software — you agree to this Agreement on behalf of the Licensee. If you accept on behalf of an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the Software; if you purchased a licence, see §12 (refunds).

1. What the Software is

"Software" means TRACER365, a locally installed Windows application for Microsoft 365 sharing and permissions auditing, including its documentation, updates and Licence Keys. The Software operates read-only: it is designed to inspect and report on configurations in the Microsoft 365 environments you connect; it is not designed to modify them.

The Software runs on your own infrastructure. The data it collects is stored locally on the machine where it is installed. The Software contains no licensing server dependency and does not transmit your audit data to Storrex.

TRACER365 is an independent product of Storrex. It is not affiliated with, sponsored by, or endorsed by Microsoft Corporation. Microsoft and Microsoft 365 are trademarks of the Microsoft group of companies, used here only to identify compatibility.

2. Licence grant

Subject to this Agreement and payment of the applicable fees, Storrex grants you a non-exclusive, non-transferable licence to install and use one copy of the Software on one Installation (a single installed instance on a single machine), for the subscription term, tier and scope stated in your order and encoded in your Licence Key.

The licence is per Installation: you may use one Installation to audit up to two Microsoft 365 tenants you are authorised to access. Your Licence Key may identify the specific tenants covered. If you are a consultant or managed service provider serving more clients, you may run one Installation per client under additional licences (§5). What you may not do is audit more than two tenants from a single Installation, or operate additional Installations, without additional licences (§5).

3. Trial licence

If you use the Software without a paid Licence Key, Storrex grants you a time-limited evaluation licence (currently 30 days from installation), solely to evaluate the Software. Trial output is limited (the Software tells you where results are truncated and why). On trial expiry the Software stops running new scans; data already collected remains readable. All terms of this Agreement apply to trial use.

4. Licence Keys

A "Licence Key" is a cryptographically signed string issued by Storrex that encodes the licensee name, term, tier, and expiry of your licence, and may record the tenant scope covered. Keys are verified locally by the Software; no internet connection is required for verification. Licence Keys are issued per Installation and are not technically locked to a machine — honouring the one-Installation scope is a contractual obligation you accept under this Agreement. Storrex may refuse renewal or revoke via Software update a key it reasonably believes to be shared, leaked or fraudulently obtained.

5. Restrictions

Except to the extent a restriction is unenforceable under applicable law (including your mandatory rights under Articles 5 and 6 of Directive 2009/24/EC to make a back-up copy, observe/study the Software, and decompile strictly for interoperability), you must not:

(a) use one Licence Key on more than one concurrent Installation, or share, publish, sell or sublicense a Licence Key;

(b) distribute, rent, lease, or provide the Software itself to third parties (providing audit services to clients using your own Installation is permitted, §2);

(c) reverse engineer, decompile, or modify the Software, or circumvent or tamper with its licence-verification, trial, or acceptance-recording mechanisms;

(d) use the Software against Microsoft 365 environments you are not authorised to audit;

(e) remove or alter proprietary notices.

6. Term, renewal, expiry

Licences run for the term stated in your order (typically one year). Renewal and cancellation are handled by the seller of record you purchased from (§12) under the terms presented at purchase; renewed Licence Keys are delivered on renewal. If your licence expires without renewal, the Software enters a read-only state: new scans stop, and data already collected remains accessible. Your data is never deleted by licence expiry.

7. Updates

During a paid subscription term Storrex makes Software updates available for download. Updates may include changed or discontinued features; the read-only design principle of §1 is not changed by updates to this version line. Storrex has no obligation to provide updates after your term ends, beyond the read-only access described in §6.

8. Your responsibilities

You are responsible for: (a) the machine and environment the Software runs on, including access control and backups; (b) creating and consenting the Microsoft Entra app registration the Software uses, and keeping its credentials secure; (c) ensuring you are authorised to audit each tenant you connect; (d) how you use, share and retain the reports and data the Software produces. As between you and Storrex, you are the controller of the audit data your Installation collects; Storrex has no access to it.

9. Support

Storrex provides email support for paid licences with commercially reasonable efforts during Belgian business hours. No specific response time is guaranteed unless separately agreed in writing.

10. Intellectual property

The Software is licensed, not sold. Storrex and its licensors retain all rights in the Software. If you send Storrex feedback or suggestions, Storrex may use them without obligation to you.

11. Privacy

The Software stores your audit data locally and does not send it to Storrex (§1). Storrex processes the personal data needed to issue licences and provide support (such as the licensee contact's name and email) as described in the privacy policy at https://tracer365.com/privacy/. Payment data is processed by the seller of record (§12), not by Storrex.

12. Purchases through Paddle (seller of record)

Unless you purchased directly from Storrex under a separately signed agreement, your purchase contract is with Paddle (Paddle.com Market Limited or its affiliates), Storrex's authorised reseller and merchant of record. Paddle's Checkout Buyer Terms govern the purchase, payment, invoicing and taxes; refunds and cancellations are handled by Paddle under its Refund Policy. This Agreement is the "Supplier Agreement" referred to in Paddle's Buyer Terms: the Software itself is made available to you by Storrex under this Agreement, and Paddle is not a party to, and has no liability under, this Agreement.

13. Warranty disclaimer and liability

Warranty. The Software is provided "as is". To the maximum extent permitted by law, Storrex disclaims all implied warranties. In particular, the Software reports on data made available by Microsoft's APIs at the time of a scan: Storrex does not warrant that every sharing or permission configuration, risk, or exposure in your environment will be identified, and the Software's output is not legal, security, or compliance advice and does not by itself make you compliant with any law or standard.

Liability cap. To the maximum extent permitted by law, Storrex's total aggregate liability under or in connection with this Agreement is limited to the licence fees paid or payable by you for the twelve (12) months preceding the event giving rise to liability, and Storrex is not liable for indirect or consequential loss, loss of profits, loss of data, or business interruption.

What is not excluded. Nothing in this Agreement excludes or limits liability for fraud, intentional misconduct, or death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

14. Consumers

The Software is a business product, offered to businesses. If you nevertheless purchase as a consumer in the EU/EEA or UK: the Software is digital content supplied without a tangible medium. At checkout and again at first run you are asked to expressly consent to immediate supply and to acknowledge that you thereby lose your statutory right of withdrawal to the extent Article 16(m) of Directive 2011/83/EU (or its national implementation) applies. Any mandatory consumer protections of your country of residence that cannot be waived remain unaffected by this Agreement, including §17.

15. Export and sanctions

You represent that you, and the organisation you accept for, are not subject to EU, UN, UK or US sanctions and are not located in a jurisdiction embargoed by those regimes, and you agree not to use, export or re-export the Software in violation of applicable sanctions or export-control law.

16. Termination

Storrex may terminate this Agreement with immediate effect if you materially breach it and, where the breach is remediable, fail to remedy it within 14 days of notice. On termination you must stop using the Software and destroy your copies. Sections 5, 8, 10, 11, 13, 14, 15, 17 and 18 survive. Your statutory rights and any refund entitlement under §12 are unaffected.

17. Governing law and forum

This Agreement is governed by Belgian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of the judicial district of Storrex's registered office in Belgium have exclusive jurisdiction — except that if you are a consumer, you keep any right to sue or be sued in your own country's courts under applicable law.

18. General

Changes. Storrex may update this Agreement for new versions of the Software or at renewal; the Software presents a changed Agreement for acceptance before continued use of the new version. The version you accepted remains the one that applies to you until you accept a newer one.

Acceptance record. The Software records the Agreement version, date/time and accepting user locally on your Installation; you can view this record in the Software's settings.

Assignment. You may not assign this Agreement without Storrex's written consent; Storrex may assign it to a successor of its business.

Entire agreement; severability. This Agreement (with your order and the documents it references) is the entire agreement about the Software; if a provision is unenforceable, the remainder stands. Failure to enforce is not waiver.

Language. This Agreement is concluded in English; courtesy translations, if any, do not prevail.
